- CLOSE OF ASTRAZENECA MERGER OFFERS - ACCEPTANCES RECEIVED FROM SHAREHOLDERS REPRESENTING OVER 99.6 PER CENT OF THE SHARES IN ASTRA AstraZeneca announces that by 21st May 1999, the closing date of the Merger Offers, it has received acceptances from Astra shareholders representing in total 99.6 per cent of Astra's shares and 99.7 per cent of the voting rights attaching to Astra's shares.

- ASTRAZENECA INTENDS TO APPEAL FOLLOWING REVIEW OF PATENT RULING IN AUSTRALIA AstraZeneca intends to appeal a patent ruling pertaining to omeprazole (Losec®) handed down today by The Federal Court of Australia in Sydney in a dispute with the generic company Alphapharm Pty Ltd. The court clearly established, that under Australian patent law, the formulation used by Alphapharm in its generic omeprazole version infringed AstraZeneca's patented formulation technology. However, the court declared, that under Australian patent law, AstraZeneca's formulation patent was invalid.

- ASTRAZENECA SELLS SPECIALTY CHEMICALS BUSINESS AstraZeneca today announced it has agreed to sell Zeneca Specialties for a cash amount of $2.1 billion (£1.3 bn) in a buyout jointly financed by Cinven and Investcorp.

- ASTRA FILES SUIT AGAINST GERMAN GENERIC COMPANY Astra has filed suit in Germany against the German generic company Azupharma. The company recently launched a generic capsule version of omeprazole in Germany. Omeprazole is the substance used in Losec®.

- SALES OF PRILOSEC® (LOSEC®) IN THE U.S. UP 23 PERCENT DURING FIRST QUARTER OF 1999 Total sales of Prilosec (Losec) in the U.S. during the period January - March 1999 amounted to USD 895 m. (1998: 730 m.), an increase of 23 percent. Growth in total prescriptions February year-to-date was approximately 20 percent.

- COMPULSORY ACQUISITION OF ASTRA AB SHARES AstraZeneca PLC announces that the compulsory acquisition procedure has been initiated through its wholly owned subsidiary Zeneca Holding AB to acquire for cash those Astra shares, including shares underlying Astra ADSs, not tendered under the Merger Offers. Zeneca Holding AB owns, including subsidiary holdings, 96.2 percent of the total Astra shares representing 96.4 percent of the total voting rights attaching to Astra shares.

- DELISTING OF ASTRA AB AstraZeneca PLC announces that Astra AB intends to apply for delisting of Astra A and B shares on the Stockholm and London Stock Exchanges with effect from Monday 26 April 1999. The last day for trading in the Astra shares on the Stockholm and London Stock Exchanges is expected to be Friday 23 April, 1999. - COMPETITION AUTHORITIES RECEIVE ASTRAZENECA MERGER FILINGS Filings for competition law approval of the AstraZeneca merger have been made to the European Commission and the Federal Trade Commission in the U.S., it was announced today. Both regulatory bodies received the filing last Friday (January 15). They will consider the proposed merger of equals between Zeneca, a UK-based company, and Astra, of Sweden, announced last month.
