Unless the parties otherwise explicitly agree, Seller is obligated to complete the firm, fixed price representations and certifications and to comply with the terms of the firm, fixed price flowdowns. If Seller believes that the Commercial Item flowdowns and representations and certifications are applicable, Seller shall complete the Commercial Item Certification Form and shall provide that certification and any accompanying documentation to MedImmune. If Seller receives confirmation from MedImmune that Seller is providing a commercial item, then the Commercial Item flowdowns and representations and certifications shall be applicable.
